"According to my cooperation partner, the solution in the appendix should solve the problem of codification as AMC for subscriptions directly from Russia. Thus, a zero-coupon bond would be issued on an operating (investment) company.
Even if it is classified as a bond issuance, the service provider will most likely insist that the implementation of the strategy on the Soparfi is done by an asset manager under supervision.
He will also want to grasp the strategy in the same way as for an AMC. Therefore, you will find an AMC questionnaire in the attachment, so that he will know exactly what you are planning before the upcoming meeting.

Indicative pricing on this type of solution Structuring (upfront): EUR 30k service provider & CHF 8k paying agent
Ongoing fees: 35 bps or minimum EUR 30k (upfront), plus CHF 12k (upfront) or 8 bps from the paying agent.
Soparfi - Investment Company: Setup EUR 6k (upfront) & Running EUR 6k p.a. (does not include the share capital of EUR 31k, which could be a pay-in and out by a loan) The annual audit of both the compartment and the soparfi costs about EUR 4-5k per year each and is invoiced separately.
Set-up and ongoing fees may be recovered or charged through net asset value (NAV) if AUM exceeds $5 million. Exceptions to this policy should be arranged directly with the solution provider. In other cases, the solution provider will employ, for example, monthly invoicing. The final cost will be proposed by the service provider after we have delivered a provisional flowchart and product questionnaire and held a Q&A meeting with their CEO. There is no surcharge by going through us as a solution platform. We get paid through their margin. Setup takes approximately 6 weeks after DD has been completed and setup fees have been paid. The subscription period can start anytime after these 6 weeks, as determined by you."
